1. Overview
These Terms of Service govern your access to and use of CNG Gateway’s website, sourcing platform, procurement services, and related tools. By using our Services, you agree to these Terms.
2. Services Provided
CNG Gateway Ltd provides global supplier identification, negotiation support, quality assurance, logistics coordination, and purchase order management. We act as an intermediary between Buyer and third-party suppliers. We do not manufacture, hold inventory, or assume ownership of goods unless expressly stated.
3. No Warranty on Third-Party Suppliers
We vet suppliers to commercially reasonable standards, but we do not guarantee:
- Supplier’s financial solvency, product quality, or delivery timelines.
- Compliance with local laws, import/export regulations, or ethical standards.
Buyer is responsible for final supplier approval, product specifications, and legal compliance in their jurisdiction.
4. Client Responsibilities
You agree to:
- Provide accurate product specifications, volumes, and delivery requirements.
- Obtain necessary import licenses, customs bonds, and certifications.
- Pay all supplier invoices, duties, taxes, and shipping fees as agreed.
- Not use our platform to source prohibited goods (e.g., conflict minerals, counterfeit items).
5. Fees & Payment
- Procurement Fees: 5–15% of supplier invoice value or fixed retainer as quoted.
- Third-Party Costs: Supplier deposits, freight, insurance, and inspection fees are billed at cost.
- Invoices are due within 30 days. Late payments incur 1.5% monthly interest or specific flat fee.
6. Limitation of Liability
To the maximum extent permitted by law:
- CNG Gateways Ltd total liability for any claim arising from these Terms shall not exceed the total procurement fees paid by Client in the prior six months.
- We are not liable for indirect, incidental, punitive, or consequential damages (e.g., lost profits, production delays, supply chain disruptions).
7. Indemnification
Client agrees to indemnify and hold CNG Gateways Ltd harmless from any claims, losses, or damages arising from:
- Buyer’s product non-compliance with safety or regulatory standards.
- Disputes with suppliers, including quality rejections or payment defaults.
- Violation of export control or anti-bribery laws.
8. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control, including: supplier bankruptcy, port closures, strikes, pandemics, natural disasters, trade sanctions, or raw material shortages.
9. Confidentiality
Both parties agree to protect confidential information (pricing, supplier lists, designs). This obligation survives termination for **three years**.
10. Termination
Either party may terminate with [30 days] written notice. We may suspend Services immediately if Client fails to pay fees or breaches anti-corruption terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of The Special Administrative Region of China (Hong Kong), excluding conflict-of-law rules. Disputes shall first be mediated; if unresolved, resolved by binding arbitration .
12. Changes to Terms
We may update these Terms. Material changes will be communicated via email or platform notice 15 days in advance. Continued use constitutes acceptance.
